HELPIT USER AGREEMENT

BY REGISTERING TO BECOME A USER OR USING THE HELPIT PLATFORM, YOU AGREE TO BE LEGALLY BOUND BY THESE TERMS. IF YOU DO NOT ACCEPT, DO NOT REGISTER OR USE THE PLATFORM
ABOUT THIS AGREEMENT
This HelpIT User Agreement (the “Agreement”) governs your use of the HelpIT, Inc. (“HelpIT,” “we,” “us,” or “our”) website, applications, and software platform (collectively, the “Platform”). HelpIT is a Louisiana-based technology company that connects users (“Customers”) with
independent service providers (“Technicians”) for tech support and related services. By using the Platform, you agree to this Agreement and the terms of any applicable Customer or Technician agreement.
We may update these terms at any time. Your continued use of the Platform after any change constitutes your acceptance of the new terms.
HOW HELPIT WORKS
2.1 Platform RoleHelp
IT provides a digital platform to facilitate service connections between Customers and Technicians. HelpIT is not a party to any service contract, and does not supervise, manage, or control any Technician or Customer.
2.2 Customers
Customers may use the Platform to request tech support or services. Upon submitting a request, Technicians may accept, reject, or counter the request.
2.3 Technicians
Technicians are independent contractors who use the Platform to offer services. They are not employees of HelpIT and are responsible for their own licenses, insurance, taxes, and compliance with applicable laws.
ACCOUNT INFORMATION & ELIGIBILITY
- You must be 18 or older or a legally formed entity to register.
- You agree to provide accurate information.
- You are responsible for maintaining the security of your credentials.
- You authorize HelpIT to verify your identity or business status.

Nothing in this Agreement creates an employer-employee relationship, joint venture, or agency. Technicians are solely responsible for their actions, tools, scheduling, and pricing. HelpIT does not train, supervise, or direct the manner or methods of service delivery.
USE OF AI SUPPORT TOOLS (DERRICK)
HelpIT may provide automated assistance or guidance through our AI support tools (e.g., “Derrick”). These tools are for informational and troubleshooting support only and do not constitute professional advice. HelpIT is not liable for any actions taken based on AI guidance.
Customers should always use discretion or escalate to a Technician when needed.
REMOTE ACCESS SERVICES
If a Customer authorizes remote access, they assume full responsibility for any loss of data, unauthorized access, or damage. HelpIT does not monitor, record, or control remote sessions and disclaims liability for any issues arising from remote interactions.
INSURANCE REQUIREMENTS FOR TECHNICIANS
Technicians must maintain:
- Workers’ Compensation Insurance (if legally required)
- General Liability Insurance with a minimum coverage of $1,000,000
- Auto Liability Insurance for any vehicle used in service delivery
Customers may require additional coverage through the Platform.
ACCEPTABLE USE
You agree not to:
- Submit false or misleading info
- Violate any law or third-party rights
- Transmit viruses, malware, or unauthorized data scraping tools
- Interfere with the operation of the Platform
- Use the Platform to solicit off-platform work, spam users, or misrepresent your identity
- Discuss or negotiate service fees outside the Platform (non-circumvention)
PAYMENT TERMS
All payments for services rendered through the Platform are processed via HelpIT’s integrated payment system. HelpIT may deduct applicable fees before remitting payment to Technicians. Customers authorize HelpIT to charge their preferred payment method for completed Work Orders.
10.TERMINATION
You or HelpIT may terminate this Agreement at any time. Upon termination:
- Your account may be disabled
- You remain responsible for any outstanding fees
- HelpIT reserves the right to withhold or release payments in case of a dispute
11.NO WARRANTY & LIMITATION OF LIABILITY
The Platform is provided “as is.” HelpIT makes no warranties about availability, accuracy, or
fitness for purpose.
HelpIT is not liable for:
- Service delivery quality
- Loss of data during remote sessions
- Indirect or consequential damages
- Employment-related claims by Technicians
12.INDEMNIFICATION
You agree to indemnify HelpIT, Inc. against all losses, damages, claims, or legal actions related to:
- Your misuse of the Platform
- Your violation of this Agreement
- Your misclassification of Technicians (if you are a business user)
- Any unauthorized content or conduct on your part
INTELLECTUAL PROPERTY
All HelpIT content, branding, and software are the property of HelpIT, Inc. You may not copy, resell, or reverse-engineer the Platform or remove any proprietary notices.
14.PRIVACY
HelpIT collects and processes data according to our Privacy Policy. By using the Platform, you consent to this policy.
15.GOVERNING LAW & DISPUTE RESOLUTION
This Agreement is governed by the laws of the State of Louisiana and applicable U.S. Federal laws. Any dispute arising out of this Agreement will be resolved through binding arbitration in East Baton Rouge Parish, LA.
16.GENERAL TERMS
- If any section of this Agreement is found unenforceable, the remainder still applies.
- This Agreement is the entire agreement between you and HelpIT, Inc.
- HelpIT may assign this Agreement; you may not without written consent.
- Notices may be delivered electronically or physically with confirmation of receipt.
